16.6 The headings used in this Agreement shall be construed only for simplicity and in no way as a supplement or limitation to the agreements and understandings contained in this Agreement. 11.1 This Agreement shall be deemed terminated when the tasks referred to in Section 2 of this Agreement are completed. 1) After initial advice and instructions on documentation requirements and at the same time as the execution of this agreement, customers pay RCIC a holdback of $XXXX CAD. This applies to the assessment of the applicant`s qualifications, including the documentary review and preparation of the initial application, as well as to the necessary advice on the merits of the client, and is considered money earned and is not refunded or cancelled. CONSIDERING that RCIC and the Client wish to enter into a written agreement containing the agreed terms under which RCIC will provide its services to the Client. The Client(s) acknowledges that this Agreement serves RCIC`s best efforts, knowledge and skills in connection with the Application. The applicant acknowledges that final decisions relating to XXXXX are made exclusively by immigration officers. However, if the RCIC or technical personnel do not perform the tasks referred to in Section 2 of this Agreement, the RCIC shall reimburse some or all of the fees received. The customer(s) agrees that the fees paid apply to the aforementioned services and that any refund is strictly limited to the amount of the fees paid. The Client(s) acknowledges that when the NCIC is invited to act on behalf of the Client in matters other than those described in this Agreement, due to a substantial change in the Client`s circumstances or material facts that were not disclosed at the beginning of the application or a change in government legislation with respect to the processing of immigration applications; the agreement may be amended by mutual agreement accordingly.
16.2 This Agreement constitutes the entire agreement between the parties with respect to the subject matter of the Contract and supersedes all agreements, understandings, prior warranties, assurances, negotiations and discussions, whether oral or written, of the Parties, except as expressly provided. All information and documents reviewed by the RCIC, required of IRCC and all other management bodies and used in the preparation of the application are not disclosed to third parties, with the exception of agents and staff, without prior consent, unless required by law. The RCIC and all representatives and collaborators of the RCIC are also bound by the confidentiality requirements set out in Article 8 of the Code of Professional Ethics. RCIC has designated and communicated with ICCRC the contact information (including name, primary and secondary address, telephone number and e-mail address) of the agent and/or responsible person in the event of an unforeseen absence in which RCIC intends or is obliged to fulfill the usual obligations of its advisory practice (i.e. death, accident, ..).
